Early-stage Pharma Partnering
Research Collaborations, Option & Licensing Agreements to Accelerate Growth and Create Exit Opportunities
For biotech start-ups, partnering with an established pharma industry player can accelerate development, provide important funding, resources and expertise from the pharma partner and at the same time open a path for a near-term exit.
In this session, Walder Wyss and VISCHER will take a practical look at two important types of agreements between biotech start-ups and pharma industry partners: research collaboration and option agreements, and licensing agreements. Walder Wyss will discuss the structure and key commercial and corporate aspects of research collaboration and option agreements, while VISCHER will provide practical insights how biotech start-ups may use licensing agreements to multiply the potential of their technology or even to achieve an exit.
Among other things, we will look at the following aspects:
-
Research collaboration and option agreements: deal structure and economics, governance and flexibility, and exit scenarios
-
Licensing agreements: deal structures (single-asset licensing, regional licensing, platform/pipeline collaborations), economics, governance, and key IP and termination provisions.
The objective is not to provide a catalogue of legal clauses, but to show how these different pieces of a collaboration fit together and where founders should pay particular attention when negotiating with a pharma industry partner.
There will be ample opportunity for questions and discussion.
